Welcome to Business Match, the on-line ‘business-dating’ service designed to connect businesses to opportunities.

Business Match is a company registered in Scotland, company number 336802. Our registered office is Blue Square House, 272 Bath Street, Glasgow G2 4JR.

This legal notice applies to the entire contents of this website under the domain www.business-match.co.uk ("Website") and to any correspondence by e-mail between us and you. Please read these terms and conditions carefully before using this Website. Using this Website indicates that you accept these terms without modification regardless of whether or not you choose to subscribe to the Service and constitutes you being a party to this Agreement. If you do not accept these terms, do not use this Website.

We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this website. Your continued use of www.business-match.co.uk indicates your acceptance of the amended User Agreement.

1. Registration and Subscription

You may subscribe to the Service at no cost. As a non-paying subscriber on the beta site, you will have the ability to participate in some, but not all, of the features and services available within the Service.

Once you have completed your online registration procedure, your subscription has been activated and you have entered into a legally binding contract for the provision of the Business Match service (the "Service").

In order to access additional features and services, including the ability to communicate with other members, you must become a paying subscriber to the Service once the website goes fully live. You will be given notice when the site is due to go fully live and of the payment required to continue using these features. At this time, you will have the opportunity to close your account, with no costs due to you if you choose to terminate your subscription.

2. Scope of Service

The Service enables you to contact other subscribers. Business Match Ltd does not operate as a brokering service and is not obligated to successfully broker any other subscribers for you.

3. Terms of Use

Your use of the Business Match Service is governed by this User Agreement. Business Match may refuse service without prior notice to any user for any or no reason.

You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account with or without your knowledge. If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or terminated. You agree to immediately notify Business Match of any unauthorized use of your password or account or any other breach of security. Business Match cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. User Conduct

You agree and warrant that :

  • Any information you provide through or as a consequence of Business Match about yourself, your business(es) and service(s) is correct, accurate and free from misleading information or misrepresentation.
  • You are solely responsible for the Content that you publish, submit, post or display (hereinafter, "post") on the Service, or transmit to other subscribers via the Service. You represent and warrant that at any time, posting of the Content is (a) accurate, (b) not in breach of this Agreement, and (c) not misleading or harmful in any way.
  • Business Match may review and delete any content, messages, photos or portfolios (collectively, "Content") that in the reasonable judgment of Business Match Ltd violate this Agreement or which might be offensive, illegal, or that might violate the rights of subscribers.
  • You will use the Service in a manner consistent with any and all applicable laws, regulations and codes of conduct
  • You will not use the Business Match Service to connect to people for the purposes of sending unsolicited promotional messages to those direct connections without their permission
  • You will not send messages to groups of contacts in a list, no matter how that list has been produced, without the express consent of all of the members of those lists, aliases or groups.
  • You will not otherwise particpate in any activity which involves the transmission of "junk mail", "chain letters," “pyramid schemes” or unsolicited mass mailing or "spamming"

Although Business Match cannot monitor the conduct of its subscribers off the Website, it is also a violation of these rules to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any member without their prior explicit consent. In order to protect our members from such advertising or solicitation, Business Match reserves the right to restrict the number of emails which a subscriber may send to other members in any 24-hour period to a number which Business Match Ltd deems appropriate in its reasonable discretion.

Prohibited Activities:

Business Match reserves the right to investigate and terminate your subscription if you have misused the Service, or behaved in a way which could be regarded as inappropriate or whose conduct is unlawful or illegal.

You understand and agree not to:

  • Use the Business Match Service for any illegal purpose, including but not limited to conspiring to violate laws.
  • Falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your current employer or position, or the company you are authorised to represent, or your affiliations with a person or entity, past or present.
  • Stalk or harass anyone.
  • Express or imply that any statements you make are endorsed by Business Match without our specific prior written consent.
  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through the Business Match Service.
  • Post content in fields that aren't intended for that content. Example: Putting an address in a name or title field.
  • Interfere with or disrupt the Business Match Service or servers or networks connected to the Business Match Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Business Match Service.

Probihited Content:

The following is a partial list of the kind of Content that is illegal or prohibited on the Website. Business Match reserves the right to amend this list at any time and to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Service and terminating the subscription of such violators.

You understand and agree not to post, email, transmit or otherwise make available any content that:

  • You know is false, misleading or promotes illegal activities or conduct or that is abusive, threatening, obscene, defamatory or libellous, discriminatory, or otherwise objectionable
  • Includes information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements).
  • Infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
  • Contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

5. Access to Service

  • You will not use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine", or in any way reproduce or circumvent the navigational structure or presentation of the Service or its contents.
  • You will not "frame" or "mirror" any part of the Service or the Website, without Business Match’s prior written authorisation. You also shall not use meta tags or code or other devices containing any reference to Business Match or the Service or the site in order to direct any person to any other web site for any purpose.
  • Except and only to the extent permitted under applicable law, you will not modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Service or the Website or any software used on or for the Service or cause others to do so.
  • You agree not to take any action that interferes with the proper working of or places an unreasonable load on our infrastructure, including but not limited to unsolicited communications, attempts to gain unauthorized access, or transmission or activation of computer viruses

6. Termination and Refunds

You may terminate your subscription at any time, for any reason, effective immediately upon receipt of notice to us by email or in writing. If you terminate a paid subscription, your subscription will remain active until the end of the period through which you had paid prior to your termination.

We may immediately terminate your membership and your access to the Service at any time for the following reasons:

a) Any breaches or violations of this Agreement
b) Upon request by law enforcement or government agencies
c) Extended periods of inactivity

We will send you notice of termination at the email address you have provided to us. If we terminate your paid subscription of the Service because you have breached the Agreement, we will refund any pre-payments made by you less reasonable costs and losses we have incurred. We can terminate this Agreement at any time by giving you reasonable advance written notice. In the case of violation of one or more of the terms of this Agreement by you we may block your account(s), delete prohibited content, prevent publication of all or part of your profile. We may also block your access to all or part of the Service, either permanently or temporarily.

7. Service Access

While Business Match endeavours to ensure this Website is normally available 24 hours a day, we do not guarantee that it will be uninterrupted or error free.

Access to this website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control.

8. Fees

Signing up to a basic Business Match account is free. Certain other services are provided for free only to beta users. Business Match reserves the right to charge for the Business Match Service or any portion thereof, modify the pricing of, add to, or discontinue the Business Match Service or any portion thereof without prior notice, save Clause 1 of this Agreement.

9. Intellectual Property

Business Match retains ownership of all rights, title and interest in and to the Service and Business Match content. ‘Business Match Content’ means any data, information, files (including software) or graphics that is available on the Website. All materials on the Website are copyrighted and are protected under treaty provisions and worldwide copyright laws.

You will not reproduce, copy, edit, publish, transmit or upload in any way Business Match materials without Business Match’s written permission. Except as expressly stated in the limited licence provisions in this Agreement, Business Match does not grant any express or implied right to you under any of its trademarks, copyrights or other intellectual property or proprietary information.

10. Links to and from Other Websites

Links to third party websites on this Website are provided solely for your convenience. If you use these links, you leave this Website. We have not reviewed all of these third party websites and do not control and are not responsible for these websites or their content or availability. We therefore do not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to this Website, you do so entirely at your own risk.

If you would like to link to this Website, you may only do so on the basis that you link to, but do not replicate, the home page of this Website, and subject to the following conditions:

(a) you do not remove, distort or otherwise alter the size or appearance of the Business Match logo;
(b) you do not create a frame or any other browser or border environment around this Website;
(c) you do not in any way imply that we are endorsing any products or services other than our own;
(d) you do not misrepresent your relationship with us nor present any other false information about us;
(e) you do not otherwise use any trade marks displayed on this Website without our express written permission;
(f) you do not link from a website that is not owned by you; and
(g) your website does not contain content that is distasteful, offensive or controversial, infringes any intellectual property rights or other rights of any other person or otherwise does not comply with all applicable laws and regulations.

We expressly reserve the right to revoke the right granted in this clause for breach of these terms and to take any action we deem appropriate.

You shall fully indemnify us for any loss or damage we may suffer or incur as a result of your breach of this clause of the Agreement.

11. Disclaimers

The material on this Website is provided ‘as is' without any conditions, warranties or other terms of any kind. Accordingly, to the maximum extent permitted by law, Business Match provides you with this Website on the basis that Business Match excludes all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law of satisfactory quality, fitness for purpose and the use of reasonable care and skill) which but for this legal notice might have effect in relation to this Website.

We do not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information displayed, uploaded or distributed through the Service by us, our partners or any subscriber or any other person or entity. You acknowledge that any reliance upon such opinion, user profile, advice, statement or information is at your own risk. We are not responsible for the conduct, whether online or offline of our subscribers. THIS LEGAL NOTICE AND THE FOREGOING DISCLAIMERS ARE WITHOUT PREJUDICE TO ANY MANDATORY LEGAL RIGHTS THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW INCLUDING YOUR STATUTORY RIGHTS AS A CONSUMER.

12. Limitations on Liability

Nothing in this Agreement shall exclude or limit Business Match’s liability for (i) death or personal injury caused by negligence [(as such term is defined by the Unfair Contract Terms Act 1977)]; (ii) fraud; (iii) misrepresentation as to a fundamental matter; or (iv) any liability which cannot be excluded or limited under applicable law.

Subject to the foregoing, Business Match will not be liable or responsible to you or any third person for any amount or kind of loss or damage that may result (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption of any type, and whether in tort (including without limitation negligence), contract or otherwise) in connection with the Service or this Website in any way or in connection with the use, inability to use or the results of use of this Website.

Subject to the foregoing, Business Match’s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Business Match for the Service during the term of subscription.

13. Privacy/Data Protection/Security

Use of the Website and/or the Service is also governed by our Privacy Policy. The information you provide to us will be stored on our computers. You consent to us using this information to build up a profile of preferences and browsing patterns and to allow you to participate in the Services.

14. Release

Business Match acts only as a contact medium between subscribers and takes no contractual part in any transactions between them. You are solely responsible for your interactions with other Business Match subscribers.

In the event that you have any claim or action against any other subscriber arising from that subscriber's use of our Website or the Service, you agree to pursue such claim or action independently of and without any demands from us, and you release us from all claims, liability and damages, arising from or in any way connected to the claim or action.

In the event that a claim or action is brought against us from your activities or use of the Website or the Service, including any breach by you of this Agreement or any charges or complaints made by other parties against you, you agree to pay, hold harmless and defend us in the claim or action. You also agree to cooperate as fully as reasonably required in the defence of any claim and allow us to assume the exclusive defence and control of the matter.

15. Governing Law

This agreement shall in all respects be governed by the law of Scotland, and the parties hereby expressly submit to the non-exclusive jurisdiction of the Scottish Courts.

16. Other

This legal notice, accepted upon use of the Website and further affirmed by becoming a subscriber of the Service, contains the entire agreement between Business Match regarding use of the Website and/or Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
